- OpenSea, a New York-based NFT marketplace, raised $300 million in Series C funding led by Paradigm and Coatue. Kathryn Haun’s new fund also participated in the round, according to Newcomer.
- PayFit, a London-based payroll and HR management solution for SMEs, raised €254M ($287.2 million) in Series E funding led by General Atlantic and was joined by investors including Eurazeo, Bpifrance, and Accel Ventures.
- Petal, a New York-based credit card startup, raised $140 million at an $800 million valuation. - Sarcophagus, a decentralized app that uses smart contracts to store and recover files, raised $3.67 million in on-chain funding from investors including Inflection, Infinite, and Lo Enterprises.

- RoadRunner Recycling, a Pittsburgh, Penn.-based sustainable waste management company, raised $70 million in Series D funding led by General Atlantic’s BeyondNetZero.
- Xage, a startup that secures operational components of the electrical grid, raised $30 million in Series B funding. - Top Tier Capital Partners paid around $200 million to buy stakes in five portfolio companies of B Capital Group, per the WSJ. The secondary strip sale included Ninja Logistics, Carro and Evidation Health, http://axios.link/7U7Y
- 3G Capital agreed to acquire a 75% stake of the holding company of Hunter Douglas, a Netherlands-based window covering and architectural product manufacturer, from Ralph Sonnenberg in a deal valued at $7.1 billion, including debt.
- Alpargatas S.A. agreed to acquire a 49.9% stake in Rothy's, a San Francisco-based sustainable shoe company for $475 million in primary capital and stock.
- Blackstone agreed to acquire a majority stake in Supergoop, a San Antonio, Tex.-based sunscreen beauty product manufacturer. Financial terms were not disclosed.
- Reverence Capital Partners acquired a majority stake and spun out Ministry Brands, a Lenoir City, Tenn.-based SaaS platform for churches, parachurch ministries and other faith-based organizations, from Community Brands.
- San Francisco Equity Partners acquired a majority stake in Rustic Bakery, a Petaluma, Calif.-based organic cracker and specialty foods producer. Financial erms were not disclosed.
- Oracle is in talks to buy Cerner, a Kansas City, Mo.-based healthcare information technology solution, in a deal that could be worth around $30 billion, according to the Wall Street Journal.
- FactSet agreed to acquire CUSIP Global Services, a New York-based standardized security and entity identifier company, from S&P Global for $1.9 billion in cash.
- Glass House Brands agreed to acquire Plus Products, a San Mateo, Calif.-based cannabis edibles company for approximately $25.6 million in debt and equity.
- Vista Equity agreed to buy SalesLoft, an Atlanta-based sales engagement software company, for $2.3 billion. SalesLoft had raised $245 million in VC from backers like Insight Partners, HarbourVest, Emergence Capital, Atlanta Ventures, Storm Ventures, SaaStr and Owl Rock Capital. http://axios.link/3MCp
- Authentic Brands Group is in talks to buy a 55% stake in DB Ventures, the brand management firm founded by David Beckham, for around £200 million, per Bloomberg. - Blackbaud (Nasdaq: BLKB) acquired EverFi, a Washington, D.C.-based “impact-as-a-service” ed-tech company for around $750 million in cash and stock. Sellers include TPG Rise Fund, Advance Publications, Bezos Expeditions, Eric Schmidt and Ev Williams. http://axios.link/GCwS
- Warner Music Group (Nasdaq: WMG) agreed to buy David Bowie’s songwriting catalog for a reported $250 million. http://axios.link/Lmoc
- TPG invested $360 million in Fractal, an artificial intelligence and advanced analytics solutions company. Apax sold some of its stake as part of the deal, but remains a shareholder in the company.
- Candle Media, backed by Blackstone, agreed to acquire an approximate 10% stake in Westbrook, Will Smith and Jada Pinkett Smith’s entertainment company, for around $60 million, per the Wall Street Journal.
- ServiceTitan, backed by Thoma Bravo, Dragoneer Investment Group, and others, agreed to acquire FieldRoutes, a cloud-based and mobile SaaS provider in the pest control and lawn care industry. Financial terms were not disclosed.
- CLEAR acquired Whyline, a New York-based virtual queuing and appointment technology, in an all-cash deal. Financial terms were not disclosed.
- OpenSea is in talks to acquire Dharma Labs, a San Francisco-based blockchain lending platform, per Axios.
- Google (Nasdaq: GOOG) acquired Siemplify, an Israeli enterprise cybersecurity company, for $500 million. Siemplify had raised nearly $60 million from firms like Georgian Partners, 83North, G20 Ventures, Jump Capital, Capria Ventures, Abundance Partners and Capri Ventures. http://axios.link/ZONE
- Nomi Health, an Orem, Utah-based direct healthcare startup, acquired Artemis Health, a Salt Lake City-based benefit optimization data platform for employers, for $200 million. Nomi recently raised $110 million in Series A funding co-led by Rose Park Advisors and Arbor Ventures, while Artemis had raised $59 million from firms like Rose Park, Bessemer Venture Partners, Hearst Ventures, F-Prime Capital and Maverick Ventures. http://axios.link/EW0c
- The New York Times (NYSE: NYT) agreed to buy sports-focused media company The Athletic for $550 million in cash. The Athletic had raised $145 million, most recently in early 2020 at a $530 million post-money valuation, from firms like Founders Fund, Lightspeed Venture Partners, Bedrock, Evolution Media Capital, Advancit Capital, Comcast Ventures and CourtsideVC.
- Matterport agreed to acquire Enview, a 3D geospatial data processing company, for approximately $95 million in cash and stock.
- JLL acquired Hank, a Sacramento, Calif.-based virtual engineering and HVAC programming platform for commercial buildings. Financial terms were not disclosed.
- General Atlantic acquired Atlanta-based physical therapy services provider PT Solutions from Lindsey Goldberg at around a $1.2 billion valuation, Axios' Sarah Pringle scoops.

IPOs:
- TPG Partners, a Fort Worth, Texas-based alternative asset manager and private equity firm, and its shareholders plan to raise up to $1.1 billion in an offering of 33.9 million shares (19.7% sold by insiders) priced between $28 and $31 per share. The company posted $2.1 billion in revenue in 2020 and reported net income of $1.4 billion.
- Justworks, a New York-based benefits, payroll, and HR software company, plans to raise up to $224 million in an offering of 7 million shares priced between $29 and $32 per share. The company reported $982.7 million in revenue in the year ending in May, and reported net income of $10.9 million. Thrive Capital, Bain Capital, Redpoint, and Index Ventures back the firm.
- Authentic Brands Group, the brand management firm whose portfolio includes Forever21, Reebok and Sports Illustrated, withdrew registration for a $1.5 billion IPO. This follows a recent agreement whereby CVC Capital Partners and HPS Investment Partners agreed to invest $3.5 billion in ABG at a $12.7 billion valuation.

- FinTech Acquisition Corp V, a SPAC backed by Betsy Cohen, delayed its merger with eToro, a London-based retail brokerage, to June. eToro’s valuation was lowered to $8.8 billion from $10.4 billion.
- ZeroFox, a Baltimore, Md.-based cyber security SaaS company, agreed to go public via a merger with L&F Acquisition Corp., a SPAC. The company will acquire IDX, a Portland, Or.-based digital privacy protection and data breach response services company, as part of the merger. A deal values ZeroFox at approximately $1.4 billion.
- Pico, a New York-based fintech going public via FTAC Athena Acquisition (Nasdaq: FTAA), acquired Redline Trading Solutions, a Woburn, Mass.-based provider of trading and market data software. Redline raised over $17 million from backers like Cue Ball and Goldman Sachs. www.pico.net
- Carousell, a Singapore-based online classifieds marketplace operator, is in talks to go public via a merger with L Catterton Asia Acquisition Corp., a SPAC, according to Bloomberg. A deal could value the firm at $1.5 billion.
Funds:
- Andreessen Horowitz raised $9 billion for three new funds: $2.5 billion for its eight flagship VC fund, $5 billion for its third growth fund and $1.5 billion for its fourth health and bio fund. www.a16z.cm
- Ribbit Capital, a fintech VC firm, raised $1.16 billion for its seventh flagship fund, per an SEC filing.
- Refinery Ventures of Cincinnati raised $36 million for its second fund. http://axios.link/ZhQ6
- Khosla Ventures has raised $557 million for its first-ever opportunities fund, the firm tells Axios. Most of the money will go toward existing portfolio companies, although the fund also can invest in new companies. KV, which last year raised $1.4 billion for its latest flagship and seed funds, recently hired Bryan Gartner away from Apax Digital to focus on growth deals.
- Launch House, a company that hosts month-long programs for entrepreneurs at its communal houses, is raising $10 million for a fund to invest in startups. http://axios.link/yzXj
